These terms explain, in plain English, how a practice subscribes to and uses Prakta. They work together with your order form and our data processing agreement.
1. The agreement
Prakta is provided by ANNAPURNA MARKETING SERVICES - FZCO to practices for business use. Your agreement with us is made up of three parts:
- your order form, which sets out your plan, fees, users and start date
- these terms of service
- our data processing agreement, which covers how we handle personal information on your behalf
If the parts conflict, the order form wins, then the data processing agreement on anything about personal information, then these terms. In these terms, “you” means the practice named on the order form, and “we” means ANNAPURNA MARKETING SERVICES - FZCO.
2. Accounts and users
You are responsible for the people you add to Prakta and for what they do in your account. To keep your account safe:
- give each person their own login and never share logins
- give each person a role, such as consultant, secretary or billing staff, so they only see what they need
- make sure every user signs in with two-step sign-in
- remove people promptly when they leave or no longer need access
- tell us straight away at support@prakta.ai if you think someone has accessed your account without permission
3. Your data and patient information
Your practice owns its data. For patient information in Prakta, your practice is the controller and we are your processor. We only use that information to provide Prakta, on your instructions and in line with the data processing agreement.
You are responsible for having a lawful basis to use patient information in Prakta, for telling patients how you use it, and for your own registrations, such as with the ICO.
You can export your data at any time while your agreement is in place. When the agreement ends, you can export your data first. We then delete it in line with the data processing agreement, unless the law requires us to keep it.
4. AI and approvals
Ask Prakta and the scribe prepare drafts to save your team time. They can make mistakes, so:
- every draft must be checked by a suitably qualified person before it is used
- clinical responsibility always stays with the treating clinician
- nothing is sent to a patient without a person in your practice approving it
- the scribe must only be used with the patient’s consent, which your practice is responsible for asking for
Ask Prakta only sees what the user’s role allows, and AI actions are logged so you can see what was prepared and approved.
5. Acceptable use
You and your users must use Prakta lawfully and in line with your professional obligations. You must not:
- use Prakta to send marketing messages to people who haven’t agreed to receive them
- send review requests only to patients you expect to be happy, or offer anything in return for a review
- publish posts or adverts that are misleading or break the advertising rules that apply to you, including advertising prescription-only medicines to the public
- upload information you don’t have the right to use
- try to break, test or get around Prakta’s security, or copy or reverse engineer the software
- resell Prakta or give access to anyone outside your practice
6. Third-party services
Prakta connects to services run by other companies, such as Google Business Profile, payment providers and your existing records system. Their own terms apply to your use of those services, and you need your own accounts and permissions with them.
We aren’t responsible for how those services work, or for changes they make that affect a connection. If a connection stops working, we will tell you and help you restore it where we can.
7. Fees
Your fees are set out in your order form. Our prices don't include VAT or other taxes. If you are a UK business, you account for VAT yourself under the reverse charge.
- You can pay monthly or annually. Annual plans are billed once a year, in advance.
- Each plan includes a monthly AI allowance. If you need more, you can buy top-ups, charged as set out in your order form.
- SMS messages are charged as set out in your order form.
- If we change our prices, we will give you at least 30 days’ notice. Annual plans keep their price until the end of the year you have paid for.
If a payment is late, we will remind you before taking any further action.
8. Term and cancellation
Your agreement starts on the date in your order form.
- Monthly plans can be cancelled at any time with 30 days’ notice by emailing support@prakta.ai.
- Annual plans run for the year you have paid for. We will remind you before the renewal date, and you can choose not to renew by telling us at least 30 days before it.
- Either of us can end the agreement if the other seriously breaks these terms and doesn’t put it right within 30 days of being asked.
Fees already paid aren’t refundable, unless the law requires otherwise or we end the agreement when you have done nothing wrong.
9. Availability and support
We work to keep Prakta available whenever you need it, but we can’t promise it will never be interrupted. We tell you about planned maintenance in advance and schedule it to cause as little disruption as we can.
Our support team is available Monday to Friday, 08:00–18:00 (UK time). Email support@prakta.ai and we usually reply the same working day.
10. Suspension
We may suspend some or all access to Prakta if we need to protect the security of the service, if fees remain unpaid after we have reminded you, if Prakta is being used in a way that seriously breaks these terms, or if the law requires it.
Where we can, we will warn you first and give you a chance to put things right. We will restore access as soon as the reason for the suspension has been dealt with.
11. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can’t be limited by law.
Otherwise:
- our total liability to you under the agreement is capped at the fees paid in the 12 months before the claim
- we aren’t liable for loss of profit, revenue, business, goodwill or data you could have backed up, or for any indirect loss
- we aren’t responsible for clinical decisions, or for content your users approve and send or publish
- we can’t guarantee any particular Google ranking, number of enquiries or other result
12. Changes to the service and these terms
We improve Prakta regularly. If we plan to remove a significant feature you rely on, we will tell you in advance.
If we make an important change to these terms, we will give you at least 30 days’ notice by email. If you don’t accept the change, you can cancel before it takes effect.
13. Governing law
These terms and the agreement are governed by the law of England and Wales. Any dispute will be dealt with by the courts of England and Wales.
